1. Introduction

These Terms of Service (“Terms”) govern access to and use of the SLL website, mobile applications, and related services (collectively, the “Platform”).

The Platform is operated by Réitigh Cliste Teoranta, trading as SLL (“we”, “us”, “our”), an Irish-based provider of software services for clubs, charities, societies, and other community organisations (“Organisations”).

SLL provides technology and administrative tools to support fundraising, membership management, event ticketing, and supporter engagement.

SLL is not a gambling operator, lottery promoter, betting service, or gaming provider.
SLL does not operate, conduct, or control any lotteries, raffles, or fundraising draws.

By accessing or using the Platform, you agree to be bound by these Terms and any additional policies referenced herein.

2. Nature of the Service

SLL provides a software-as-a-service (SaaS) platform that enables charitable and non-commercial organisations to manage and administer their own fundraising activities online.

SLL:

  • Is not a gambling operator
  • Is not a lottery promoter
  • Is not a betting or gaming service
  • Does not operate or run fundraising draws

The Platform enables Organisations to independently manage and administer their own activities, including:

  • Fundraising campaigns
  • Community lotteries, raffles, and draws
  • Membership subscriptions
  • Event ticket sales
  • Communications with supporters

Each Organisation is solely responsible for the legality, conduct, and administration of its own activities.

3. Fundraising Disclaimer

SLL provides software tools only.

Each fundraising campaign is:

  • Organised and operated independently by the relevant organisation
  • Subject to that organisation’s own legal and regulatory obligations

SLL:

  • Does not organise or promote fundraising activities
  • Does not collect, hold, or control funds
  • Does not process payment card details

Payments are made directly between supporters and the organising organisation via the organisation’s independently contracted payment service provider.

4. Separation of Responsibilities

Each fundraising or event activity displayed or managed via the Platform is:

  • Organised, operated, and promoted independently by the relevant Organisation
  • Conducted under the Organisation’s own rules and legal obligations

SLL does not:

  • Determine prizes, odds, fundraising rules or outcomes
  • Conduct or supervise draws
  • Hold or distribute prizes
  • Promote or benefit from fundraising activities
  • Act as a beneficiary of fundraising proceeds

5. Contractual Relationships

Any fundraising transaction exists solely between:

  • The supporter or donor,
  • The organising Organisation,
  • The Organisation’s independently contracted payment service provider, and
  • The supporter’s issuing bank.

SLL is not a party to fundraising transactions.

6. Payments, Card Data, and Financial Flows

SLL does not process payments and is not a payment service provider.


6.1 Payment Entry

Payment details entered by supporters are submitted directly to the Organisation’s contracted payment service provider using secure, provider-hosted or provider-controlled payment interfaces.

SLL does not receive, process, or store payment card details.


6.2 Tokenisation and Transaction References

The payment service provider may return:

  • Non-sensitive transaction references, and/or
  • Provider-issued payment tokens

SLL may store such references solely for:

  • Transaction confirmation
  • Reporting and reconciliation
  • Initiating recurring transactions where authorised
  • All payment authorisation and execution are performed exclusively by the payment service provider.

6.3 Fund Settlement

All fundraising payments are:

  • Settled directly into the Organisation’s own bank account
  • Never received, held, or controlled by SLL
  • SLL does not act as a merchant of record, escrow provider, or intermediary.

6.4 Platform Fees

SLL invoices Organisations separately on a monthly basis for use of the Platform. Platform fees are independent of fundraising transactions and are not deducted from supporter payments.

7. Wallet Credits and Usage Balances

7.1 Nature of Wallet Credits

The Platform may display a Wallet Balance (also referred to as “Credits” or “Usage Balance”) for supporters.

Wallet Credits represent a non-custodial, internal accounting record maintained by SLL solely for platform functionality.

Wallet Credits:

  • Reflect prepaid usage value corresponding to a successful payment made directly to an Organisation
  • Do not represent money held by SLL
  • Do not represent funds controlled by SLL
7.2 Legal Classification

Wallet Credits do not constitute:

  • Money or funds held by SLL
  • A deposit or payment account
  • Electronic money
  • Stored value
  • A gift card or voucher
  • A financial instrument

Wallet Credits are:

  • Non-withdrawable using SLL platform
  • Non-transferable using SLL platform
  • Non-redeemable for cash using SLL platform

They exist solely to enable participation in Organisation-defined activities and services available through the Platform.

8. Organisation Obligations

Each Organisation confirms that it:

  • Is a legitimate charitable, sporting, or community entity
  • Has authority to conduct fundraising activities
  • Complies with all applicable Irish laws and regulations
  • Obtains any required licences, permits, or exemptions

SLL does not provide legal advice and does not verify regulatory compliance of individual activities.

9. Supporter/ Donor Registration and Eligibility

Supporter/ Donor must:

  • Be at least 18 years old
  • Have legal capacity to enter into a binding contract

By participating in any Organisation activity, you confirm that you meet all applicable legal and eligibility requirements.

You are responsible for maintaining accurate account information and safeguarding your login credentials.

10. Acceptable Use

The Platform must not be used for:

  • Unlawful or misleading fundraising
  • Fraudulent activity
  • Commercial gambling or betting
  • Misrepresentation of organisational status

SLL reserves the right to suspend or terminate access where misuse or risk is identified.

11. Intellectual Property

All intellectual property rights in the Platform belong to SLL or its licensors.

Organisations retain ownership of their own content but grant SLL a non-exclusive licence to use it solely to provide the Services.

12. Limitation of Liability

The Platform is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, SLL shall not be liable for:

  • Fundraising outcomes
  • Payment failures or disputes
  • Prize fulfilment
  • Organisational conduct
  • Regulatory compliance of Organisations
  • Actions or omissions of payment service providers

13. Governing Law

These Terms are governed by the laws of Ireland.

Irish courts have exclusive jurisdiction.

14. Privacy

Use of the Platform is subject to our Privacy Policy, which forms part of these Terms.

15. Changes to the Platform or Terms

SLL may modify the Platform or update these Terms from time to time. Continued use constitutes acceptance of the updated Terms.

16. Suspension and Termination

SLL may suspend or terminate access immediately where:

  • These Terms are breached
  • Unlawful or high-risk activity is identified

Termination does not affect obligations already incurred.
